The undisputed facts are that Telecom purchased assets from Midwest Telephone Co Inc (“Midwest”). As a part of that transaction, Telecom—through its managing member, [Robert] Brack—executed a promissory note (the “Note”) in the amount of $250,000 (the “Junior Debt”) in May 2018. Under the Note, Telecom promised to pay Midwest quarterly installments beginning on March 31, 2019.
