Ubelhor (“Joseph”) and Roberta M. Ubelhor (“Roberta”), husband and wife, who initially held all 1,000 shares of common stock. In 1998, the Corporation adopted bylaws (“the Bylaws”) establishing a five-person Board of Directors that initially consisted of Joseph and Roberta’s children: Kenneth J. Ubelhor (“Kenneth”), Joanne R. Haas (“Joanne”), Donna M. Rodgers (“Donna”), and the Sisters. Following Joseph’s and Roberta’s deaths, each of their children held 200 shares.
